How Street works, in the order you'll meet it: verification, markets, orders, settlement, and custody, plus what issuers put in place at listing.

01 · Overview

What Street is

Street is a market for private company securities, built as one connected system: Liquid runs the order book, Heimdall executes and supervises, Mimir keeps the ownership record, and custody holds positions directly. This page documents how those pieces behave from a participant's point of view.

The four functions

The one rule everything follows

Conditions are checked before an order exists, not after a match. Identity, accreditation, issuer consent, and transfer restrictions are all order-entry conditions. If a check fails, the order never reaches the book, which is why an order that rests on Liquid is an order that can settle.

02 · Accounts

Accounts & verification

Every account is verified before it can see a market. What you bring depends on your role.

What each role provides

ShareholderIdentity verification, accreditation evidence, and proof of your holding in the company. Once cleared, your position is recorded on the Mimir register and you can route it: sell on-book or hold.
InvestorIdentity verification and accreditation evidence. Securities on Street are offered exclusively to accredited investors, so verification is the gate to the order book.
IssuerEntity documents: board authorization, transfer pre-consent, a ROFR waiver, and a resale disclosure package: secured once, at listing.

How verification runs

Signup is self-serve. You choose your role — individual investor, fund, or company — and identity verification is a step inside signup itself, run through our verification partner. Accreditation is attested in your Compliance checklist, entity accounts complete a beneficial-owner roster, and the platform is gated until identity clears. Verification is not a one-off formality: accreditation status is part of every pre-trade check your orders pass through.

Account security

Two-factor authenticationAn authenticator app or a passkey. Required before your first deposit or withdrawal: funding does not move without a second factor.
Withdrawal confirmationEvery withdrawal to an address Street has never seen requires its own emailed confirmation code before it can proceed.
Backup codesIssued at 2FA enrollment; a backup code signs you in if you lose your authenticator.

03 · Interest

Interest & queueing

Before a market opens, demand is collected as structured interest: counted, sized in dollars, and on the record. The queue is how a company's market gets built.

The interest queue

Every company on Street has an interest queue. Registering interest takes one tap; your position in the queue is private to you, and interest totals are shown as exact counts and dollar amounts — never rounded, never teased. A partner-verified identity outranks an unverified one. Registered interest is non-binding: commitments only exist as orders, and orders only exist once a market opens.

What interest becomes

Committed interest aggregates into the issuer’s demand view — committed dollars over time, direction, and how investors found the company — always anonymized. It’s the evidence an issuer weighs when deciding to open a market, and the book that market opens against.

04 · Funding

Funding & cash

Funding is the wallet. Cash arrives as USDC into a wallet in your name, is credited when confirmed on chain, and leaves the same way.

Deposits

Deposit USDC from several supported networks — major EVM chains and Solana — to your own embedded wallet address. Street watches the chain and credits your balance when the transfer confirms; every credit links to its on-chain receipt by transaction hash. Unusually large deposits may pause for review before crediting — the hold is visible and explained, not silent.

Withdrawals

Withdrawals go to any address you control. Two-factor authentication is required before your first deposit or withdrawal, and a destination Street has never seen must be confirmed by its own emailed code before funds move.

The wallet is yours

The embedded wallet belongs to the holder, not the platform. You can export its key from settings and take the wallet off Street entirely — the exit door is built in.

05 · Markets

Markets on Liquid

Each listed security trades in its own market: a continuous limit order book that opens with issuer consent and runs inside issuer-set guardrails.

How a market opens

Issuer guardrails

Guardrails are rules the issuer sets once, at listing, and the venue enforces on every order, not terms renegotiated per trade. They typically include price bands (a floor and ceiling within which orders may rest) and trading windows (when the market is open). An order outside the band is rejected at entry; there is no override path.

What you see on screen

A live book: resting bids and asks at firm prices with visible size, the current spread, and the session’s prints. Depth is on screen before you trade, liquidity is not discovered after the fact through a broker chain.

Try it before it counts

A public demonstration market (STRT · Street Labs) runs the full venue — order book, tape, session chart, issuer guardrails — with claimable demo funds, so you can learn the mechanics before any real market opens. Demo market traded with demo funds; prices are not quotes or offers.

06 · Orders

Orders & execution

Liquid takes firm limit orders. Every order passes the same pre-trade checks, in line, before it can rest on the book.

Order types

The book is built on limit orders: a price and a size, firm until filled or cancelled. Orders rest openly on the book and fill when a crossing order arrives. There is no negotiated-block side channel. The book is the market.

Pre-trade checks

A failed check stops that one order and routes it to review. It does not slow the rest of the book.

Execution

Matches execute as riskless principal through the broker-dealer: both sides trade at the same on-screen price, and the fill prints to the tape with a timestamped, attributable record.

07 · Settlement

Settlement & recordkeeping

Settlement on Street is a register update. Because execution and recordkeeping share one system, there is no reconciliation step between 'the trade happened' and 'the books say so.'

Reading your position

Your holding is a book-entry position on the register, in your name, updated in real time. What you see is not a statement generated from a downstream copy. It is the record itself, continuously reconciled against shares issued and outstanding.

08 · Custody

Custody

What you hold on Street is the security itself, in your name.

Direct beneficial ownership

Positions are held as direct beneficial ownership between the holder and the issuer, no pooled vehicle or fund structure sits in between. Recordkeeping and safeguarding are handled by the platform’s register, and the ownership chain has exactly two ends: you and the company.

09 · Issuers

For issuers

A listing is a one-time setup that makes every subsequent trade in your security routine. Four things go in place, once.

Your path to launch

Listing runs as a staged checklist in the issuer workspace: issuer profile, legal documents, disclosure package, eligible buyers and sellers, and an approved ruleset. Each stage says exactly what is outstanding and links to where it gets done. Market terms are three questions — who may buy, which security trades, and how long the window is open — plus the signed transfer authorization.

The cap table is the seller list

Import your cap table (CSV, XLSX, or PDF) and it becomes the operating record: holders, computed vesting, unconverted SAFEs, and supporting documents. Selling permission is granted per holder — an allow-to-sell on the row — and each seller joins through a single-use invite bounded by their vested position. Sellers hold real, confirmed positions before a market ever opens.

Demand before launch

From the day your page is claimed, the demand view shows committed buy interest — committed dollars over time, anonymized direction and segments, and how investors found you. After business verification clears, Street delivers a one-time demand reveal (the Street Debrief) so the decision to open a market is made on evidence.

Ongoing control

Listing is not a loss of control. It is control, encoded. Guardrails (price bands, trading windows, holder eligibility) are yours to set, the venue enforces them on every order, and your register is always current because fills write to it directly.

Availability & status

A straight answer about what exists today.

Where the platform stands

Street is in early access. Live today: self-serve accounts and verification, interest queues across listed companies, funding (USDC deposits and withdrawals), the issuer workspace through the full path to launch, seller onboarding from the cap table, and the public demonstration market. Live secondary trading opens market by market, with issuer consent, and is not yet generally available.

On the regulatory side, Street’s transfer-agent registration is effective: Street Labs, Inc. is registered with the SEC as a transfer agent (Mimir). The remaining regulated functions this documentation describes — broker-dealer execution and the alternative trading system — have registrations in progress, pending regulatory approval, and the platform operates accordingly until they are granted. Documentation is written against the platform as designed, so participants know exactly what they are onboarding toward.
